Why is Aqualectra issuing the bonds?
To refinance the existing debt of the issuer and Aqualectra, partially fund the approved CAPEX, and cover the expenses related to the issuance.
How can an investor subscribe? Through authorized brokers of DCSX.

Only professional investors with an available investment budget of XCG 50,000 or more.

The interest amount per period is determined on an actual/365 basis by multiplying the outstanding nominal amount of the Bond by the applicable coupon rate (5.00% for Class A1 and 5.20% for Class A2), adjusted for a semi-annual period (1/2 year). The first interest payment is scheduled for May 15, 2026.
Repayment occurs on the maturity date, following a bullet structure. Distributions will be made pro rata to all bondholders.
Yes, Bonds can be traded on the DCSX starting from November 16, 2025, through Authorized Brokers. When a trade is settled, all related rights and obligations of the Bond are transferred from the seller to the buyer.
Once listed, the Issuer has ongoing disclosure obligations. Investors can access updates via Aqualectra’s official website (www.aqualectra.com). Additionally, any material information that may impact bond pricing, yield, or trading volume will be reported to the DCSX and disseminated through authorized brokers and the DCSX website (www.dcsx.cw).
All subscriptions must be made in Cg (Caribbean Guilder). Investors with USD or EUR must convert their funds at the prevailing exchange rate before subscribing. For additional details, please consult an Authorized Broker.
Investors should be aware that the Bonds do not carry principal protection. While Aqualectra maintains strong financial stability, and offering vital services to the community, the likelihood of discontinuation is low, unforeseen circumstances could impact its ability to repay principal or interest. This is referred to as ‘debtor risk,’ and investors should review the Risk Factors section of the Prospectus to fully assess potential risks.
No, the Aqualectra’s existing operations and projects generate sufficient cash flow to service debt obligations. However, successful execution of new projects may contribute to increased operational efficiencies and potential tariff reductions for consumers while sustaining overall profitability.
The maximum amount to be raised through the Bond Issue is Cg 75 million.
